Terms of Service

These Terms apply to all users of the Service. If you do not agree, you must not use Amunt.

Our Privacy Policy explains how personal data is processed and forms an integral part of this legal framework.

You represent and warrant that:

• You are at least 18 years old and legally capable of entering into binding agreements.
• Your use of the Service complies with applicable law in your jurisdiction.
• You will provide accurate, complete, and up-to-date registration information.

You are responsible for all activity under your account and for keeping credentials confidential.

• Protect access to your email and API keys, use a strong, unique password if you use one, and do not share credentials.
• Notify us immediately if you suspect unauthorized access.
• We may suspend access to protect you, other users, or the platform.

Amunt provides software tools to model ownership, rounds, and legal workflows. Unless explicitly agreed in writing, Amunt does not provide legal, tax, accounting, investment, or fiduciary advice.

You remain solely responsible for validating documents, calculations, and decisions before execution or filing.

Documents are signed with Amunt's own electronic signature (a single-use link each signer receives by email) or, where it is enabled, through Signaturit.

Each company needs its own paid subscription, monthly (or yearly, where offered), charged through Stripe; a company without an active subscription is locked until it is paid. The price is shown on the platform before you pay. Discount codes apply at checkout; even with a 100% discount a card is required, and the next charge goes to it when the discount ends. Being an investor in or shareholder of a company needs no subscription.

• Fees are due under the selected billing cycle and are non-refundable unless required by law.
• We may update pricing for future renewal periods with prior notice.
• You are responsible for taxes, duties, and withholdings applicable to your subscription.

You agree not to misuse the Service. Prohibited activities include:

• Attempting to access non-public areas, systems, or data without authorization.
• Interfering with integrity, performance, or availability of the Service.
• Uploading unlawful content or data you do not have rights to process.
• Reverse engineering, scraping at abusive scale, or bypassing technical safeguards.

The Service, including software, design, marks, text, and underlying technology, is owned by Amunt or its licensors and protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

You retain ownership of your data. You grant Amunt a limited license to host, process, and transmit your data solely to provide, secure, and improve the Service.

• You warrant you have a valid legal basis and rights to upload and process the data.
• You are responsible for content accuracy and lawful use of generated outputs.
• Where required, you must obtain consents from stakeholders, investors, and signatories.

The in-app assistant and any outside agents you connect to your account (with an API key or through OAuth) use your account's permissions and your role in each company. They cannot send anything to people outside the company, sign, pay, or issue or transfer shares by hand, and the assistant asks you to confirm each change.

Answers from an AI model can contain mistakes. Check them before you confirm any change, as with any other calculation or document on the platform.

Amunt may integrate with third-party providers (for example, hosting, identity, communications, payments, signatures, or artificial intelligence). Their services are subject to their own terms and policies.

We are not responsible for interruptions, errors, or losses caused solely by third-party systems outside our reasonable control.

We work to keep the Service available and secure, but do not guarantee uninterrupted or error-free operation at all times.

We may modify, improve, or discontinue features where reasonably necessary, including for security, legal compliance, or product evolution.

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory.

This includes implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.

Our aggregate liability for claims arising out of or related to the Service will not exceed the amounts paid by you to Amunt in the 12 months preceding the event giving rise to liability.

You agree to indemnify and hold harmless Amunt, its directors, employees, and affiliates from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.

You may stop using the Service at any time. We may suspend or terminate access where reasonably necessary, including when:

• You materially breach these Terms.
• Your use creates security, legal, or operational risk.
• We are required to do so by law or competent authority.

These Terms are governed by Spanish law. Unless mandatory consumer rules require otherwise, disputes will be submitted to the courts of Barcelona, Spain.
