Terms of Service

These Terms of Service ("Terms") govern access to and use of Amunt, including our website, dashboard, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.
If you use Amunt on behalf of a company or investment vehicle, you confirm that you have authority to bind that entity, and "you" includes that entity.
1. Acceptance and Priority of Documents
These Terms apply to all users of the Service. If you do not agree, you must not use Amunt.
Our Privacy Policy explains how personal data is processed and forms an integral part of this legal framework.
2. Eligibility and Legal Capacity
You represent and warrant that:
- You are at least 18 years old and legally capable of entering into binding agreements.
- Your use of the Service complies with applicable law in your jurisdiction.
- You will provide accurate, complete, and up-to-date registration information.
3. Account Registration and Security
You are responsible for all activity under your account and for keeping credentials confidential.
- Use a strong, unique password and do not share credentials.
- Notify us immediately if you suspect unauthorized access.
- We may suspend access to protect you, other users, or the platform.
4. Scope of Service
Amunt provides software tools to model ownership, rounds, and legal workflows. Unless explicitly agreed in writing, Amunt does not provide legal, tax, accounting, investment, or fiduciary advice.
You remain solely responsible for validating documents, calculations, and decisions before execution or filing.
5. Plans, Pricing, and Billing
Some features may require a paid subscription. Pricing, billing cycles, and included features are communicated on the platform or in an order form.
- Fees are due under the selected billing cycle and are non-refundable unless required by law.
- We may update pricing for future renewal periods with prior notice.
- You are responsible for taxes, duties, and withholdings applicable to your subscription.
6. Acceptable Use
You agree not to misuse the Service. Prohibited activities include:
- Attempting to access non-public areas, systems, or data without authorization.
- Interfering with integrity, performance, or availability of the Service.
- Uploading unlawful content or data you do not have rights to process.
- Reverse engineering, scraping at abusive scale, or bypassing technical safeguards.
7. Intellectual Property
The Service, including software, design, marks, text, and underlying technology, is owned by Amunt or its licensors and protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.
8. User Data and Content
You retain ownership of your data. You grant Amunt a limited license to host, process, and transmit your data solely to provide, secure, and improve the Service.
- You warrant you have a valid legal basis and rights to upload and process the data.
- You are responsible for content accuracy and lawful use of generated outputs.
- Where required, you must obtain consents from stakeholders, investors, and signatories.
9. Third-Party Services
Amunt may integrate with third-party providers (for example, hosting, identity, communications, or signatures). Their services are subject to their own terms and policies.
We are not responsible for interruptions, errors, or losses caused solely by third-party systems outside our reasonable control.
10. Availability, Maintenance, and Changes
We work to keep the Service available and secure, but do not guarantee uninterrupted or error-free operation at all times.
We may modify, improve, or discontinue features where reasonably necessary, including for security, legal compliance, or product evolution.
11. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory.
This includes implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
12. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.
Our aggregate liability for claims arising out of or related to the Service will not exceed the amounts paid by you to Amunt in the 12 months preceding the event giving rise to liability.
13. Indemnification
You agree to indemnify and hold harmless Amunt, its directors, employees, and affiliates from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.
14. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access where reasonably necessary, including when:
- You materially breach these Terms.
- Your use creates security, legal, or operational risk.
- We are required to do so by law or competent authority.
15. Governing Law and Jurisdiction
These Terms are governed by Spanish law. Unless mandatory consumer rules require otherwise, disputes will be submitted to the courts of Barcelona, Spain.
